I - Acceptance of Terms

Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts in your jurisdiction to use our Services. By using our Services, you represent and warrant that you meet these eligibility requirements.

If you are using our Services on behalf of a company, organization, or other entity, you represent and warrant that you have the authority to bind that entity to these Terms.

Account Registration

To access certain features of our Services, you may be required to create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

II - Description of Services

InfluX Card Services

InfluX provides a social currency card program that allows eligible influencers to:

• Obtain a virtual Visa card powered by our payment partners
• Shop at partner brand merchants
• Earn rewards and cashback based on social media engagement
• Track and manage rewards through our platform

Influencer Verification

To qualify for an InfluX card, you must:

• Have a minimum of 1,000 followers on at least one social media platform
• Complete our Know Your Customer (KYC) verification process
• Provide accurate social media account information
• Maintain active social media accounts
• Comply with our community guidelines and terms

InfluX reserves the right to verify your social media accounts, follower counts, and engagement metrics. We may periodically re-verify your eligibility and may suspend or terminate your account if you no longer meet our requirements.

III - Use of Services

Permitted Use

You may use our Services only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Services in any way that violates any applicable federal, provincial, state, local, or international law or regulation
• Engage in any fraudulent, deceptive, or misleading practices
• Attempt to gain unauthorized access to our systems or accounts
• Interfere with or disrupt the Services or servers connected to the Services
• Use automated systems or bots to access or use the Services without our express written permission
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Collect or harvest any information from the Services without our consent
• Use the Services to transmit any malicious code, viruses, or harmful data

Social Media Content

When posting content related to InfluX or our partner brands:

• You must comply with the terms of service of the social media platforms you use
• You must disclose any material connections or sponsorships in accordance with applicable advertising standards
• You must use the hashtag #influx when posting about purchases made with your InfluX card
• You must tag the relevant brand partner in your posts
• Content must be authentic and reflect your genuine experience

IV - Rewards and Cashback

Reward Calculation

Rewards and cashback are calculated based on:

• Your social media engagement metrics (likes, shares, comments, views)
• The purchase amount at partner brand merchants
• Multiplier factors determined by InfluX
• Compliance with posting requirements

InfluX reserves the right to modify reward calculation methods, multipliers, and eligibility criteria at any time. We will provide reasonable notice of material changes to our rewards program.

Reward Processing

Rewards are typically processed and added to your card balance within 7-14 business days after:

• Your social media post is verified
• Engagement metrics are validated
• All posting requirements are met

InfluX reserves the right to delay, withhold, or deny rewards if we suspect fraudulent activity, violation of these Terms, or failure to meet posting requirements.

Reward Expiration

Rewards may expire if your account is inactive for an extended period. We will notify you before rewards expire. Expired rewards cannot be reinstated.

V - Card Usage and Limitations

Card Eligibility

Your InfluX card is a virtual Visa card that can be used anywhere Visa is accepted. However, to earn maximum rewards, we recommend using your card at partner brand merchants.

Card Limits

Card spending limits, transaction limits, and other restrictions may apply. These limits are determined based on:

• Your account verification status
• Your social media influence level
• Your account history and compliance
• Regulatory requirements

Prohibited Transactions

You may not use your InfluX card for:

• Illegal activities or purchases
• Gambling or betting transactions
• Adult content or services
• Any transaction that violates these Terms or applicable laws

VI - Intellectual Property

Our Intellectual Property

All content, features, and functionality of the Services, including but not limited to text, graphics, logos, images, software, and the design, selection, and arrangement thereof, are owned by InfluX, its licensors, or other providers and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

Your Content

By posting content on social media that mentions InfluX or uses our hashtags, you grant InfluX a non-exclusive, royalty-free, worldwide, perpetual license to:

• Use, reproduce, and display your content for marketing and promotional purposes
• Share your content on our website and social media channels
• Use your content in our advertising and marketing materials

You retain ownership of your content and may revoke this license by contacting us, subject to content already published or used.

VII - Privacy

Privacy Policy

Your use of our Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we collect, use, and protect your personal information.

VIII - Disclaimers and Limitations of Liability

Service Availability

We strive to provide reliable Services, but we do not guarantee that the Services will be available, uninterrupted, secure, or error-free. We may suspend, modify, or discontinue any aspect of the Services at any time without notice.

No Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INFLUX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICES.

IN NO EVENT SHALL INFLUX'S TOTAL LIABILITY TO YOU EXCEED THE AMOUNT OF FEES PAID BY YOU TO INFLUX IN THE TWELVE (12) MONTHS PRIOR TO THE ACTION GIVING RISE TO THE LIABILITY.

IX - Indemnification

You agree to indemnify, defend, and hold harmless InfluX, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:

• Your use of the Services
• Your violation of these Terms
• Your violation of any rights of another party
• Your social media content and activities

X - Termination

Termination by You

You may terminate your account at any time by contacting us or using the account deletion feature in your account settings. Upon termination, your right to use the Services will immediately cease.

Termination by Us

We may suspend or terminate your account and access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms or engage in fraudulent or illegal activity.

Effect of Termination

Upon termination:

• Your right to use the Services will immediately cease
• Any pending rewards may be forfeited
• We may delete your account information
• Provisions that by their nature should survive termination will survive

XI - Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Manitoba, Canada, without regard to its conflict of law provisions.

Dispute Resolution Process

Any disputes arising out of or relating to these Terms or the Services shall be resolved through:

• Good faith negotiation between the parties
• If negotiation fails, binding arbitration in accordance with the rules of the Canadian Arbitration Association
• Arbitration shall take place in Winnipeg, Manitoba, Canada

XII - General Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and InfluX regarding the use of the Services.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.

Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.
